SYMGATE – Legal & Operational Framework

1. Token Classification

1.1 Nature of the Token
The SYMGATE token is classified as a performance-based digital asset.

1.2 Explicit Exclusions
The SYMGATE token does not constitute:

  • equity or ownership interest

  • a security or financial instrument

  • an investment contract

  • electronic money or legal tender

  • a right to dividends, profits, or revenue sharing

1.3 No Profit Expectation
No expectation of profit, appreciation, or income is created, expressed, or implied by the issuance or holding of SYMGATE tokens.


2. Token Issuance & Earning

2.1 Earning Mechanism
Tokens are earned solely through predefined, objective performance criteria under the SYMGATE protocol.

2.2 Emission Limits

  • Maximum: 100 tokens per calendar month

  • Maximum: 1200 tokens per calendar year

2.3 No Discretion
Token issuance is rule-based and non-discretionary.


3. Transferability & Market Status

3.1 Transferability
SYMGATE tokens are freely transferable.

3.2 Market Trading
Tokens may be withdrawn and traded on open markets at the sole discretion and risk of the holder.

3.3 Issuer Non-Involvement
The issuer:

  • does not guarantee liquidity

  • does not control price

  • does not provide buy-back mechanisms


4. Token Holding & Rights

4.1 No Additional Rights
Holding tokens above the minimum access threshold confers no additional rights, privileges, or influence.

4.2 No Governance
SYMGATE tokens do not grant governance, voting, or decision-making power.


5. VIP Access Mechanism

5.1 Access Requirement
Access to SYMGATE VIP services requires a minimum operating balance of one (1) SYMGATE token.

5.2 Automatic Suspension
If the balance reaches zero, VIP access is automatically suspended.

5.3 Restoration
Access is restored immediately upon re-establishing the minimum balance.

5.4 Legal Nature
Suspension of access is not a penalty, sanction, or termination.


6. Risk Allocation

6.1 Market Risk
Token value is volatile and market-dependent.

6.2 Regulatory Risk
Regulatory treatment may change.

6.3 User Responsibility
Users bear sole responsibility for token management.
